  2. END-USER LICENSE AGREEMENT FOR MICROSOFT SOFTWARE
  3.  
  4. IMPORTANTùREAD CAREFULLY: This End-User License Agreement (ôEULAö) is a legal agreement 
  5. between you (either an individual or a single entity) and Microsoft for the Microsoft 
  6. software product accompanying this EULA, which includes computer software and may 
  7. include associated media, printed materials, and ôonlineö or electronic documentation 
  8. (ôProductö). By installing, copying, or otherwise using the Product, you agree to be 
  9. bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not 
  10. install, copy, or use the Product.

  12. The Product is protected by copyright laws and international copyright treaties, as 
  13. well as other intellectual property laws and treaties. The Product is licensed, not 
  14. sold.
  15.  
  16. 1.    GRANT OF LICENSE.
  17. General.  Microsoft grants you the right to make, use and modify the sample source code
  18. contained the Product (the ôSample Codeö) for the purposes of evaluating, designing,
  19. developing, and testing software product(s), and to reproduce and distribute the Sample 
  20. Code, along with any modifications thereof, provided that you agree:
  21.  
  22. (a) to distribute the Sample Code in source or object code form and only in conjunction 
  23. with and as a part of a software application product developed by you that adds 
  24. significant and primary functionality to the Sample Code;
  25.  
  26. (b) to not use MicrosoftÆs name, logo, or trademarks to market your software application 
  27. product;
  28.  
  29. (c) to include a valid copyright notice on your software product; and
  30.  
  31. (d) to indemnify, hold harmless, and defend Microsoft from and against any claims or 
  32. lawsuits, including attorneyÆs fees, that arise or result from the use or distribution 
  33. of your software application product. Documentation.  Solely with respect to the 
  34. electronic documentation, you may make an unlimited number of copies (either in 
  35. hardcopy or electronic form), provided that such copies shall be used only for internal 
  36. purposes and are not republished or distributed beyond the userÆs premises.

  38. 2.    DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
  39. - Not For Resale Software.  You may not resell, or otherwise transfer for value, the 
  40.   Product.
  41. - Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not 
  42.   reverse engineer, decompile, or disassemble the Product, except and only to the 
  43.   extent that such activity is expressly permitted by applicable law notwithstanding 
  44.   this limitation.
  45. - Rental. You may not sell, rent, or lease the Product.
  46. - Support Services.  No technical support will be provided for the Product.
  47. - No Other Uses.  You may not use the Product in any way other than as expressly 
  48.   permitted under this EULA.
  49. - Software Transfer. You may permanently transfer all of your rights under this EULA, 
  50.   provided you retain no copies, you transfer all of the Product, and the recipient 
  51.   agrees to the terms of this EULA.
  52. - Termination. Without prejudice to any other rights, Microsoft may terminate this EULA 
  53.   if you fail to comply with the terms and conditions of this EULA. In such event, you 
  54.   must destroy all copies of the Product and all of its component parts.

  56. 3.    COPYRIGHT.   The Product is protected by copyright and other intellectual 
  57. property laws and treaties. Microsoft or its suppliers own the title, copyright, and 
  58. other intellectual property rights in the Product.
  59.  
  60. 4.    U.S. GOVERNMENT RESTRICTED RIGHTS.  All Product provided to the U.S. Government 
  61. pursuant to solicitations issued on or after December 1, 1995 is provided with the 
  62. commercial license rights and restrictions described elsewhere herein.  All Product 
  63. provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 
  64. is provided with ôRestricted Rightsö as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) 
  65. or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable.

  67. 5.    Exportable Encryption.  You agree that you will not export or re-export the 
  68. Product (or portions thereof) to any country, person or entity subject to U.S. export 
  69. restrictions.  You specifically agree not to export or re-export the Product (or 
  70. portions thereof): (i) to any country subject to a U.S.  embargo or trade restriction; 
  71. (ii) to any person or entity who you know or have reason to know will utilize the 
  72. Product (or portions thereof) in the production of nuclear, chemical or biological 
  73. weapons; or (iii) to any person or entity who has been denied export privileges by the

  77. This EULA is governed by the laws of the State of Washington.

  82. DISCLAIMER OF  WARRANTIES.  To the maximum extent permitted by applicable law, Microsoft 
  83. and its suppliers provide the Product and any (if any) support services related to the 
  84. Product (ôSupport Servicesö) AS IS AND WITH ALL FAULTS, and hereby disclaim all warranties 
  85. and conditions, either express, implied or statutory, including, but not limited to, any 
  86. (if any) implied warranties or conditions of merchantability, of fitness for a particular 
  87. purpose, of lack of viruses, of accuracy or completeness of responses, of results, and of 
  88. lack of negligence or lack of workmanlike effort, all with regard to the Product, and the 
  89. provision of or failure to provide Support Services.  ALSO, THERE IS NO WARRANTY OR 
  90. CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR 
  91. NON-INFRINGEMENT, WITH REGARD TO THE PRODUCT.  THE ENTIRE RISK AS TO THE QUALITY OF OR 
  92. ARISING OUT OF USE OR PERFORMANCE OF THE PRODUCT AND SUPPORT SERVICES, IF ANY, REMAINS 
  93. WITH YOU.
  94. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES.  To the maximum extent 
  95. permitted by applicable law, in no event shall Microsoft or its suppliers be liable for 
  96. any special, incidental, indirect, or consequential damages whatsoever (including, but 
  97. not limited to, damages for loss of profits or confidential or other information, for 
  98. business interruption, for personal injury, for loss of privacy, for failure to meet any 
  99. duty including of good faith or of reasonable care, for negligence, and for any other 
  100. pecuniary or other loss whatsoever) arising out of or in any way related to the use of 
  101. or inability to use the Product, the provision of or failure to provide Support Services, 
  102. or otherwise under or in connection with any provision of Agreement, even in the event of 
  103. the fault, tort (including negligence), strict liability, breach of contract or breach of 
  104. warranty of Microsoft or any supplier, and even if Microsoft or any supplier has been 
  105. advised of the possibility of such damages.
  106. LIMITATION OF LIABILITY AND REMEDIES. Notwithstanding any damages that you might incur 
  107. for any reason whatsoever (including, without limitation, all damages referenced above 
  108. and all direct or general damages), the entire liability of Microsoft and any of its 
  109. suppliers under any provision of this Agreement and your exclusive remedy for all of the 
  110. foregoing shall be limited to the greater of the amount actually paid by you for the 
  111. Product or U.S.$5.00.  The foregoing limitations, exclusions and disclaimers shall apply 
  112. to the maximum extent permitted by applicable law, even if any remedy fails its essential 
  113. purpose.
